These Terms govern your use of Waypoint (app.wpoint.pro and wpoint.pro), operated by DNZ Labs Xolo Go OÜ, Paju tn 1a, 50603 Tartu, Estonia (VAT EE102156920) ("Waypoint", "we", "us"). By creating an account or using Waypoint you agree to these Terms and to our Privacy Policy.
1. What Waypoint is
Waypoint is a platform that helps founders build their startups inside programmes run by incubators, accelerators, universities, hubs and communities ("Clubs"). It includes pitch deck analysis, an AI Coach, planning tools (hypotheses, evidence, tasks), a weekly self-assessment (the Founder Pulse) and tools for Clubs to run their programmes.
2. Who can use Waypoint
- You must be at least 18 years old.
- You use Waypoint to build a business or to run a programme, not for purely personal purposes.
- Founders join through a Club: through the Club's own sign-up link, or through an invitation from a startup's team. A founder belongs to one Club at a time.
- One account per person, and one role per account. If you are both a founder and a mentor, you need two accounts with two email addresses.
- You keep your login details safe and tell us at privacy@wpoint.pro if you think your account has been misused.
3. Startups and teams
- A startup ("project") belongs to its team, not to the Club. Each startup has one owner; co-founders and team members are invited by the owner and must accept.
- Every team member has full access to the startup's content. AI Coach conversations stay private to each person, also inside the team.
- Only the owner can manage the team, share data with the Club, archive, restore or delete the startup. Deleting a startup deletes it for the whole team.
- You work on one active startup at a time.
4. Your content
- You keep all rights to what you upload or write (decks, documents, ideas, notes, plans, Coach questions) ("Your Content").
- You give us a limited licence to store and process Your Content only to provide Waypoint to you and your team, including sending it to our AI provider to produce analyses and Coach answers.
- We do not use Your Content to train AI models, and our AI provider processes it under terms that do not allow training on it.
- You confirm you have the right to upload Your Content, and that it does not include other people's personal data you are not allowed to share, or special category data (such as health data about identifiable people).
5. AI features — important
Analyses, readiness scores, findings, regulatory snapshots, suggested actions and Coach answers are generated automatically. They are guidance to help you think, not investment, legal, regulatory, medical, tax or financial advice, and they can be wrong or incomplete. A regulatory classification shown by Waypoint is always an estimate. Decisions about your startup remain yours; check important points with qualified professionals.
6. Sharing with your Club
By default your Club sees only what a programme needs to run: your name, startup, role and title, stage, last activity, whether your startup checked in this week, and anonymous totals across startups (shown only when at least 5 startups are counted). Anything more — your weekly Pulse, your latest analysis summary, or a request for help — is shared only when your startup's owner (or, for help requests, a team member) chooses to share it, and sharing can be turned off at any time. Your AI Coach conversations are never shared. Details are in the Privacy Policy.
7. Clubs
A Club gives its founders access to Waypoint under an agreement with us. Club admins can see the information described in section 6, invite founders, inactivate founder accounts in their Club and send announcements. If a Club's agreement ends, founders keep access to export their data for at least 2 months.
8. Acceptable use
You must not: access another startup's or Club's data; upload content you have no right to upload or that is unlawful; try to break, overload or reverse-engineer Waypoint; use Waypoint to send spam; or use automated tools to extract data from Waypoint.
9. Fees
Waypoint is free for founders; Clubs pay under their own agreement with us. Paid services, such as paid mentor sessions, will be governed by additional terms that you accept before you buy.
10. Suspension, leaving and deletion
- We may suspend or close an account that breaks these Terms, with notice where possible.
- You can export your data and delete your account at any time in Settings › Data & account. If you own a startup with other active members, you must transfer ownership first.
- We may change or stop parts of Waypoint; if we stop the whole service we will give at least 30 days' notice so you can export your data.
11. Liability
Waypoint is provided "as is". To the extent the law allows: we are not liable for indirect or consequential losses, or for decisions you make based on AI-generated content; our total liability to a founder is limited to €100, and to a Club to the fees it paid in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law, or rights you have as a consumer under the law of the country where you live.
12. Law and disputes
These Terms are governed by the laws of Estonia. Disputes go to the courts of Estonia, unless mandatory law gives you the right to go to the courts of your own country.
13. Changes
We may update these Terms. For material changes we will tell you in the app or by email at least 15 days before they apply, and ask you to accept the new version. If you don't agree, you can export your data and close your account.
